LETTER OF ENGAGEMENT

………………………………………….. email address …………………………………………………do hereby agree and commit to  engaging the services of Leapium Holdings (Pvt) Ltd t/a Leap-Farm Produce (“Leapium”) on the understanding that; 

  1. Leapium is the sole distributor, in Zimbabwe, of all the products manufactured and sold by SSD Machinery, a company based in China. 
  2. Leapium will not be liable for any latent or patent defects or deficiency in specifications of the products as advertised and marketed directly by SSD Machinery. Leapium does not therefore provide any guarantees or warranties regarding the quality of the product sold as they are merely distributors. 
  3. Upon identifying the product that l/we want from the website of SSD Machinery and selecting the number of items that l/we want; l/we will be issued with an invoice by SSD Machinery.  l/we will then make full payment of the invoiced amount to either SSD Machinery directly or make a cash payment at the offices of Leapium or as they may, in writing, direct. 
  4. I/We will forward our proof of payment to either Leapium or to both Leapium and SSD Machinery. 
  5. Shipment of goods, CIF Harare, will be over a period of 40 days or more depending on the ship and any other circumstances that may not be anticipated but may delay the arrival of the cargo in Harare including but not limited to wars; earthquakes; unforeseen delays at sea; change of law; pandemics among other. 
  6. I/We will be responsible, as purchaser (s) of the goods for; 
  7. Payment of 10% of handling fees howsoever they will be calculated. 
  8. Payment of all local charges that is to say charges levied by the government of Zimbabwe; quasi-government bodies, local authority; government departments including but not limited to Zimbabwe Revenue Authority (ZIMRA) or any company that may be authorized at law to charge or levy any fee on the imported products. For avoidance of doubt, I/we pay duty levied by ZIMRA including any penalties or interest that may be levied or charged on the goods imported on my/our behalf. 
  9. Payment of any other charges that may be incurred in Zimbabwe and by Leapium over and above those envisaged herein and payable by them. 
  10. For avoidance of doubt, Leapium shall be responsible only for; 
  11. Exclusively dealing with the clearing agent and I/we will not have any right to liaise with or to demand any information from the said agent. 
  12. Payment of 80% handling fees. 
  13. Leapium shall have the right, as is provided for at law, to withhold the imported goods until such a time as all the local charges would have been paid and in full. 
  14. Should goods imported on my/our behalf remain at the Leapium’s warehouse or wherever they may keep them and not being collected for more than 7 working days, a storage fee of  US$10 or its equivalent shall be levied on me/us per day until such time as the goods will have been collected provided that if the  goods are not collected for a period in excess of 90 days, Leapium shall be at liberty, if it so desires, to sell the said goods, deduct its storage charges and any other costs associated with the sale and I/we shall then collect the balance from them. 
  15. The above address shall be my/our address for purposes of any notice or letter to me/us. Communication can either be by way of a letter or email. 
  16. Should there be any dispute arising out of this engagement, same shall be resolved through an arbitrator sitting in Bulawayo and same being a legal practitioner of no less than 15 years experience and who has proven track record of representing companies especially those listed or have previously been listed on the Zimbabwe Stock Exchange. The arbitrator shall be chosen by the President of the Law Society of Zimbabwe or, failing him or her, the president or chairperson of the Zimbabwe Chamber of Commerce or Zimtrade.
